Standard Bilateral Non-Disclosure Agreement

This Bilateral Mutual Non-Disclosure Agreement ("Agreement") is entered into and effective upon submission of digital image assets or execution by and between:

1. Definition of Confidential Information

For purposes of this Agreement, "Confidential Information" shall include all proprietary digital media, trade secrets, and business information furnished by Client to ClipPathPro, including without limitation:

• Unreleased Visual Assets: Unreleased product captures, seasonal lookbooks, jewelry prototypes, apparel collections, and packaging designs prior to official public market release.
• Raw Master Files: Raw camera capture files (Canon CR2/CR3, Nikon NEF, Sony ARW, Adobe DNG, Phase One IIQ, Hasselblad 3FR), 16-bit TIFFs, layered PSD/PSB masters, and embedded clipping paths.
• Commercial Intelligence: Client brand style guides, art director notes, photoshoot schedules, production metadata, and client business identity.

2. Non-Disclosure & Strict Non-Use Obligations

ClipPathPro explicitly covenants and warrants that:

• Zero Public Publication: ClipPathPro shall NEVER display, reproduce, sub-license, publish, or showcase Client images, before-and-after comparisons, or project assets in its marketing, website portfolios, case studies, or social media channels without explicit prior written authorization from Client.
• Need-to-Know Isolation: Access to Confidential Information is strictly restricted to senior retouchers, colorists, and quality control auditors who have signed individual binding internal confidentiality covenants.
• White-Label Integrity: For agency and photography studio outsourcing, ClipPathPro operates strictly as an invisible back-office provider. Deliverables are stripped of foreign metadata upon request.

3. Data Security, Isolation & Deletion Protocol

ClipPathPro enforces multi-layered technical controls to ensure end-to-end asset isolation:

• All transmissions occur over TLS 1.3 / 256-bit SSL encrypted channels.
• Client assets reside in quarantined, air-gapped private directory structures with zero public web indexing.
• Completed assets are automatically purged from production drives within thirty (30) calendar days of final delivery, or immediately upon Client written request.

4. Intellectual Property Rights

Client retains sole, exclusive, and unencumbered ownership of all right, title, and interest in and to all images, RAW files, trademarks, and copyrightable works submitted. All hand-drawn clipping paths, retouching layers, masks, alpha channels, and composite deliverables created by ClipPathPro constitute "work made for hire" and become 100% Client property immediately upon delivery.

5. Term & Enforceability

The obligations of confidentiality under this Agreement shall survive for a period of three (3) years from the date of disclosure, or until such time as the Confidential Information enters the public domain through no fault of ClipPathPro.
